1. The name of the Group is "leavillage.com".
2. The aim of the Group is to serve the local community by publicising what’s going on in Lea and providing other local information for residents of Lea, Cleverton and Garsdon and those who use the facilities in the village (“our community”).
3. The objectives of the Group are to:
o Keep the Lea community involved and informed,
o Ensure the Lea village website is properly managed and maintained,
o Promote the Lea village website and the Internet to the local community.
4. The Group shall be managed by a Committee of not more than nine or less than four people elected annually at the Annual General Meeting (AGM).
5. The Committee shall elect a chairman, secretary and treasurer at the first meeting after the AGM or the first meeting after a vacancy arises.
6. The AGM will be open to everyone in our community. There are no membership requirements or subscription charges for the Group.
7. The Committee shall have the power to:
hold regular meetings to progress its aims
publish or distribute information
apply for and raise funds to be used in furtherance of its aims
co-opt specialist advisers and involve volunteers when appropriate
promote the organisation and its work
co-operate with other bodies
carry out any other actions which assist with the furtherance of aims
8. The Committee shall hold at least 4 meetings per year to progress its aims, with more frequent meetings of some members of the committee, as required to manage day-to-day affairs.
9. The Group shall maintain a bank account in the name of "leavillage.com ". There will be four authorised signatories of which any two can sign each withdrawal.
10. The website will contain brief details of local businesses (or other services, e.g. that serve our community. They will be asked for a donation to support the running costs of the website.
11. leavillage.com will not be allowed to borrow money commercially, and any potential shortfall in income must be addressed by the committee at their next meeting. Any surplus (excess of donations over running costs) may, at the discretion of the committee, be allocated to improvement of the website or donated to support the improvement of local facilities or services for the community.
12. The AGM shall be held once a year by October of that year, giving at least 21 days’ notice of the meeting. A quorum will consist of at least 3 members of the committee. The AGM will, among other things, review the annual summary of income and expenses prepared by the Treasurer.
13. The AGM shall be open to all residents of Lea, Cleverton and Garsdon.
14. The Group may be dissolved at any time by a resolution passed at a meeting of the Committee by two thirds of the Committee. At least 21 days notice of such a meeting shall be given to all Committee members. Any assets remaining after the payment of all debts and liabilities shall be distributed to a charitable group benefiting Lea, as decided by the Committee.
15. Alteration to the Constitution shall be by a resolution passed by two thirds majority of the Committee.
16. The Secretary shall be responsible for producing minutes for AGMs and to record all significant decisions / actions, but minutes will not necessarily be produced for every meeting held. Where they are produced, they will be openly available to anyone who requests them.
